Welcome to Omni OS. By accessing or using any of our services, websites, software, applications, or APIs (collectively, the “Service”), you agree to be legally bound by these Terms and Conditions (“Terms”), which constitute a binding agreement between you (“User”, “You”, or “Your”) and Omni OS LLC (“Company”, “We”, “Us”, or “Our”).

1. Acceptance of Terms

By creating an account, accessing the Service, or using any portion of Omni OS, you affirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, do not access or use the Service.

2. Scope of Use

The Service is intended solely for commercial use by businesses and marketing professionals. You represent that you are of legal age and authorized to enter into binding contracts on behalf of your organization.

3. No Performance Guarantees

Omni OS provides tools for marketing attribution and analytics. While we may suggest ROI improvements or performance benchmarks, you acknowledge that:

• We do not guarantee any increase in revenue, performance, or return on ad spend.
• You waive any and all rights to claim damages, refunds, or compensation for perceived or actual losses in performance, marketing ROI, customer acquisition costs, or other metrics.
• You acknowledge that performance depends on many variables outside of our control, including but not limited to creative quality, product-market fit, ad spend, platform policy changes, and economic conditions.

4. Waiver of Right to Sue

To the maximum extent permitted by law, by using the Service you agree to waive your right to sue or bring any class action, arbitration, or legal proceeding against Omni OS, its founders, employees, contractors, partners, or affiliates for:

• Any real or perceived harm to your business, brand, financial performance, ad campaigns, or customers;
• Any unauthorized access, hacking, data breach, or security incident involving your data, customer data, or third-party integrations;
• System downtime, bugs, data loss, failed API calls, or inaccurate attribution;
• Any advice, report, or recommendation provided by Omni OS or generated by the software.

5. Limitation of Liability

IN NO EVENT SHALL OMNI OS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

6. Data and Privacy

We take your data seriously, but you acknowledge and agree that:

• Use of the Service requires the collection and transmission of sensitive data, including customer PII and marketing metrics;
• You have obtained all necessary consents to upload or share such data with Omni OS;
• We are not liable for breaches, leaks, or loss of data due to third-party systems or cloud infrastructure;
• You are solely responsible for your compliance with applicable data protection laws (e.g., GDPR, CCPA).

7. Account Security

You are responsible for safeguarding your login credentials and restricting access to your devices. We are not liable for unauthorized access to your account caused by your negligence.

8. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any loss of data, business, or revenue caused by such changes.

9. Termination

We may suspend or terminate your access to the Service at our discretion, with or without cause, and without liability. Upon termination, you must cease all use of the Service, and all data may be deleted.

10. Indemnification

You agree to indemnify and hold harmless Omni OS and its affiliates from any claims, liabilities, damages, or expenses (including legal fees) arising from:

• Your use of the Service;
• Your violation of these Terms;
• Your infringement of any third-party rights, including data privacy or intellectual property.

11. Arbitration & Governing Law

All disputes arising out of these Terms or your use of the Service will be resolved by **binding arbitration** in the State of Ohio, under the rules of the American Arbitration Association. No class actions are permitted.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Service constitutes your acceptance of any modifications.
